Terms of Service

1. Agreement to Terms

By accessing and using iOS Developer Studio's services, you accept and agree to be bound by the terms and provision of this agreement.

Important: If you do not agree to abide by the above, please do not use this service. These terms apply to all visitors, users, and others who access or use the service.

2. Description of Services

iOS Developer Studio provides premium iOS application development services, including but not limited to:

Custom iOS application development using Swift and SwiftUI
User interface and user experience design
Backend integration and API development
App Store optimization and submission
Ongoing maintenance and technical support
Consulting and advisory services

3. Use License

3.1 Permission is granted to temporarily use our services for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

Modify or copy the materials
Use the materials for any commercial purpose or for any public display
Attempt to reverse engineer any software contained on our platform
Remove any copyright or other proprietary notations from the materials

3.2 This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

4. Project Terms and Deliverables

Note: Project timelines are estimates and may vary based on project complexity, client feedback cycles, and change requests.

5. Payment Terms

5.1 Payment Schedule

Project Initiation: 50% upfront payment required before work begins
Milestone Payments: Payments due upon completion of agreed milestones
Final Payment: Remaining balance due upon project completion
Monthly Retainers: Due on the first of each month for ongoing services

5.2 Payment Methods

We accept payments via bank transfer, credit card, PayPal, and other approved payment methods. All payments must be made in USD unless otherwise agreed.

5.3 Late Payments

Late payments may result in project suspension and additional fees. Interest charges of 1.5% per month may apply to overdue amounts.

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment, clients receive ownership of:

Custom source code developed specifically for their project
Original design assets and graphics
Project documentation and specifications

6.2 Our Retained Rights

We retain ownership of:

Proprietary frameworks and development tools
General methodologies and best practices
Pre-existing intellectual property
The right to showcase work in our portfolio (with client approval)

6.3 Third-Party Components

Some projects may include third-party libraries or services, which are subject to their respective licenses and terms.

7. Confidentiality

We understand the importance of confidentiality in business relationships. We commit to:

Maintaining strict confidentiality of all client information
Not disclosing proprietary business information
Implementing appropriate security measures
Limiting access to authorized personnel only
Returning or destroying confidential materials upon request

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and care, in accordance with industry standards.

8.2 Disclaimer

Except as expressly stated above, we make no other warranties, express or implied, including but not limited to:

Warranties of merchantability or fitness for a particular purpose
Guarantees of App Store approval or commercial success
Warranties regarding third-party services or integrations

9. Limitation of Liability

In no event shall iOS Developer Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

10. Termination

10.1 Termination by Client

Clients may terminate services with 30 days written notice. Upon termination:

Payment is due for all work completed to date
We will deliver all completed work and materials
No refunds for payments already made
Confidentiality obligations remain in effect

10.2 Termination by Us

We may terminate services immediately if:

Payment terms are violated
Client breaches material terms of agreement
Project requirements change significantly
Circumstances make continued service impractical

11. Changes and Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new terms.

For existing projects, changes will not affect agreements already in progress unless mutually agreed upon in writing.

12. Governing Law

These terms shall be governed by and construed in accordance with applicable local and international laws. Any disputes arising from these terms shall be resolved through:

Direct negotiation between parties
Mediation with a neutral third party
Binding arbitration if necessary
Court proceedings as a last resort

13. Force Majeure

We shall not be liable for any failure or delay in performance under this agreement which is due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, epidemic, or any other event that is beyond our reasonable control.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the terms will otherwise remain in full force and effect.
